Service Agreement
These Terms of Service ("Terms") govern your access to and use of the NexOptix™ executive decision platform ("Service"). By accessing or using our Service, you agree to be bound by these Terms and all applicable laws and regulations.
NexOptix™ provides an invitation-only platform designed exclusively for executive teams requiring advanced analytics, predictive insights, and strategic decision support capabilities. These Terms constitute a legally binding agreement between you, your organization, and NexOptix™.
If you do not agree with any part of these Terms, you must not access or use our Service. Your continued use of the platform constitutes acceptance of any modifications to these Terms.
Platform Access and Eligibility
Invitation-Only Access
Access to NexOptix™ is restricted to invited executive users and their authorized teams. Platform access requires:
- Valid executive invitation and verification process completion
- Completion of security authentication and background verification
- Agreement to confidentiality and data protection terms
- Organizational authorization for data integration and processing
- Compliance with minimum security requirements for accessing devices
- Acceptance of ongoing security monitoring and audit procedures
- Designation of authorized users within your organization
Account Responsibilities
Executive users and their organizations are responsible for:
- Maintaining the confidentiality of access credentials and security tokens
- Ensuring authorized use of platform features by designated personnel only
- Promptly reporting security concerns, breaches, or unauthorized access
- Compliance with organizational data policies and regulatory requirements
- Regular review and update of user access permissions
- Implementation of appropriate internal security measures
- Training of authorized users on platform security protocols
- Notification of personnel changes affecting platform access
Service Features and Limitations
Platform Capabilities
NexOptix™ provides executive decision support through:
- Unified data hub for financial, operational, and workforce analytics
- Predictive risk insights and real-time compliance monitoring
- Scenario planning and asset optimization recommendations
- Real-time cost signals and performance indicators
- Advanced reporting and executive dashboard customization
- Integration capabilities with existing business systems
- Mobile access and offline functionality for critical data
- Collaborative tools for executive team decision-making
- Automated alerts and notification systems
Service Limitations
Our platform provides analytical insights and recommendations but does not:
- Guarantee specific business outcomes or financial results
- Replace executive judgment or decision-making authority
- Provide legal, financial, or regulatory advice
- Ensure 100% accuracy of predictive models or forecasts
- Accept liability for business decisions based on platform insights
- Provide investment advice or financial planning services
- Guarantee continuous platform availability without interruption
Data Usage and Privacy
By using NexOptix™, you acknowledge and agree that:
- Organizational data will be processed for analytical and predictive purposes
- Data security measures meet or exceed enterprise-grade standards
- Platform usage data may be used to improve services and user experience
- Data retention policies align with business requirements and legal obligations
- Executive users maintain ownership of their organizational data
- Data processing complies with applicable privacy laws and regulations
- Regular security audits and compliance assessments will be conducted
- Data backup and recovery procedures are maintained for business continuity
Intellectual Property Rights
NexOptix™ retains all rights to:
- Platform software, algorithms, and analytical models
- User interface designs and platform architecture
- Proprietary analytics and prediction methodologies
- Service improvements and feature enhancements
- Documentation, training materials, and support resources
- Trademarks, service marks, and brand elements
- Research and development innovations
Executive users retain ownership of their organizational data and any insights derived specifically from their proprietary information. Any derivative works or improvements based on user data remain the property of the respective organization.
Service Availability and Support
We strive to maintain high platform availability but cannot guarantee uninterrupted service. Service level commitments include:
- Target uptime of 99.9% excluding scheduled maintenance
- Planned maintenance communicated 48 hours in advance
- Emergency maintenance with immediate notification to users
- 24/7 executive support through dedicated channels
- Priority response times for critical issues affecting decision-making
- Regular platform performance monitoring and optimization
- Disaster recovery procedures with defined recovery time objectives
- Backup systems and redundancy measures for critical functions
Payment Terms and Billing
Executive platform subscriptions are subject to the following payment terms:
- Annual subscription fees payable in advance
- Custom pricing based on organizational requirements and usage
- Additional charges for premium features and enhanced support
- Late payment fees of 1.5% per month on overdue amounts
- Automatic renewal unless terminated with 90 days notice
- Pro-rated refunds for early termination under specific conditions
- Currency conversion at prevailing exchange rates for international clients
Limitation of Liability
To the maximum extent permitted by law, NexOptix™ shall not be liable for:
- Indirect, incidental, or consequential damages
- Loss of profits, revenue, or business opportunities
- Data loss or corruption not caused by our negligence
- Business decisions made based on platform insights
- Third-party service interruptions or failures
- Force majeure events beyond our reasonable control
- Damages exceeding the annual subscription fee paid
Service Termination
Either party may terminate access to NexOptix™ with appropriate notice. Upon termination:
- Platform access will be revoked within 24 hours of termination notice
- Organizational data will be securely returned or destroyed per instructions
- Confidentiality obligations continue indefinitely beyond termination
- Final analytics reports will be provided within 30 days if requested
- Outstanding fees remain due and payable
- Backup data will be securely deleted within 90 days
- Access credentials will be immediately deactivated
- Transition assistance available for 60 days post-termination
Governing Law and Disputes
These Terms are governed by the laws of Greece and the European Union. Any disputes will be resolved through:
- Good faith negotiations between the parties
- Mediation through recognized commercial mediation services
- Arbitration under International Chamber of Commerce rules
- Jurisdiction of Greek courts for legal proceedings
- Compliance with EU data protection and privacy regulations
